Terms of Service

1. Introduction and Acceptance of Terms

These Terms of Service ("Terms") are a binding legal agreement between you ("you," "User") and [Legal Entity Name] ("MNF," "we," "us," or "Company"), a company organized under the laws of the Republic of Azerbaijan, governing your access to and use of the MNF – Make New Friends mobile application, website, and related services (collectively, the "Service").

By creating an account or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you must not access or use the Service.

The Service is offered worldwide. Certain features, subscription options, or content may vary by region due to local law or licensing.

2. Definitions

• “Account” means the registered profile you create to access the Service.
• “Content” means any text, images, video, audio, or other material available through the Service, including User Content.
• “User Content” means Content that you or another user submits, posts, or transmits through the Service.
• “Subscription” means any paid, recurring, or one-time plan that unlocks premium features of the Service.
• “Advertising” means any sponsored, promotional, or third-party advertising content displayed within the Service.

3. Eligibility and Age Requirement

To use the Service, you must:

• Be at least 18 years old. MNF is strictly an adult platform and is not directed at, and must not be used by, anyone under 18, regardless of local age of majority;
• Have the legal capacity to enter into a binding contract with us in your jurisdiction of residence;
• Not be prohibited from using the Service under the laws of Azerbaijan, your own jurisdiction, or any other applicable law, including export control and sanctions laws;
• Not have been convicted of, or be required to register as, a sex offender, and not have been convicted of a violent, sexual, or related felony;
• Not have had an MNF account previously terminated or suspended by us for violating these Terms.

By creating an Account, you represent and warrant that you meet all of the above requirements. We may use age-assurance measures (such as ID verification, selfie verification, or third-party verification tools) at registration or at any later point, and may suspend your Account pending verification.

4. Account Registration — Sign-Up Required

You must create an Account to access substantially all features of the Service; the Service is not available for browsing or use without registration. When registering, you agree to:

• Provide accurate, current, and complete information, including a working, verifiable email address or phone number;
• Use your real identity and your own, unaltered photographs — you may not create a profile using another person's identity or images without their consent;
• Maintain and promptly update your information to keep it accurate;
• Register only one Account per person;
• Keep your login credentials confidential and notify us immediately at support@fortcoretech.net of any unauthorized use of your Account.

You are solely responsible for all activity that occurs under your Account, whether or not authorized by you.

5. Subscriptions, Payments, and Advertising

5.1 Free and Paid Tiers

MNF offers both free, ad-supported features and optional paid Subscriptions that unlock additional features. Available Subscription tiers, prices, and included features are displayed in the app or on our website at the time of purchase and may change from time to time.

5.2 Billing and Auto-Renewal

Subscriptions are billed through the payment method associated with your account on the applicable app store (e.g., Apple App Store, Google Play) or through our designated payment processor. Unless you cancel before the end of the current billing period, your Subscription will automatically renew for a further period of the same length, at the then-current price, and your payment method will be charged automatically.

• You can cancel auto-renewal at any time through your app store account settings or in-app subscription management; cancellation takes effect at the end of the current billing period.
• Except where required by law, payments are non-refundable and we do not provide partial refunds for unused periods.
• Prices may vary by country and may include or exclude applicable taxes depending on local law.

5.3 Right of Withdrawal / Cooling-Off (Where Applicable)

Users in jurisdictions that grant a statutory right of withdrawal for digital subscriptions (for example, consumers in the European Union and UK) may have a limited right to withdraw from a purchase shortly after purchase, except to the extent you have expressly consented to immediate access to the paid features and acknowledged the loss of the withdrawal right by doing so, where permitted by local law.

5.4 Advertising

The free version of the Service displays Advertising from us and from third-party advertising partners. Advertising may be personalized based on information collected about you as described in our Privacy Policy, subject to your choices and applicable law (for example, consent requirements under the EU ePrivacy Directive/GDPR or opt-out rights under US state privacy laws). We do not control the content of third-party advertisements and are not responsible for the products, services, or claims made by advertisers.

6. Acceptable Use Policy

When using the Service, you must not:

• Harass, bully, stalk, threaten, defraud, or intimidate any other user;
• Impersonate any person or entity, or misrepresent your identity, age, or affiliation with any person or organization;
• Create more than one Account, or create an Account on behalf of, or for the benefit of, anyone other than yourself;
• Solicit passwords, payment details, or other sensitive information from other users, or engage in financial solicitation or “romance scam” conduct;
• Use the Service to promote or organize illegal activity, violence, terrorism, or discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristic;
• Circumvent, disable, or otherwise interfere with security features, age-verification, or moderation systems;
• Upload, transmit, or facilitate the transmission of any virus, malware, or other harmful code;
• Use the Service while under the influence in a manner that endangers yourself or others, or encourage self-harm or dangerous conduct in others;
• Use another user's personal information for any purpose other than facilitating your interaction with them through the Service, including for stalking, doxxing, or harassment outside the Service.

We may investigate suspected violations and take any action we deem appropriate, including content removal, warnings, feature restriction, Account suspension or termination, and reporting to law enforcement.

7. Content Restrictions

You may not post, upload, transmit, or otherwise make available through the Service any Content that:

• Is unlawful, defamatory, obscene, pornographic, or sexually explicit;
• Depicts or promotes violence, self-harm, or cruelty to people or animals;
• Infringes any copyright, trademark, trade secret, right of publicity/privacy, or other intellectual property or proprietary right of any person;
• Contains nudity that violates our content guidelines, or sexual content involving anyone who is or appears to be a minor, regardless of context or claimed intent;
• Constitutes spam, chain messages, pyramid schemes, or unsolicited commercial messaging;
• Discloses another person's private information (address, phone number, financial information, government ID) without their consent;
• Contains false or misleading claims about your identity, age, health status, or intentions;
• Promotes the sale of weapons, controlled substances, or other regulated or illegal goods and services.

We reserve the right, but not the obligation, to review, screen, filter, remove, or refuse any Content at our sole discretion, including through automated moderation tools and human review, and without prior notice.

8. Zero Tolerance for Child Sexual Abuse and Exploitation

You must not, under any circumstances:

• Upload, share, request, or link to CSAM or any content sexualizing a minor;
• Use the Service to contact, groom, or attempt to arrange to meet a minor for any sexual or exploitative purpose;
• Misrepresent your age to appear to be, or to target, a minor;
• Use the Service to facilitate trafficking, exploitation, or abuse of any person, particularly minors.

We will immediately terminate any Account associated with such conduct or content, remove the content, preserve relevant records as required by law, and report to the National Center for Missing & Exploited Children (NCMEC), law enforcement, and/or other competent national authorities, as applicable and permitted by law.

9. Scraping, Automated Access, and Data Mining

Except as expressly permitted by us in writing (e.g., through an official API subject to separate terms), you may not:

• Use any robot, spider, crawler, scraper, or other automated means to access, monitor, copy, or extract data or Content from the Service;
• Use browser extensions, bots, or scripts to automate swiping, messaging, matching, or any other user action;
• Circumvent robots.txt directives, rate limits, CAPTCHAs, or other access-control or anti-automation measures;
• Aggregate, compile, or create a database of profiles, photos, or other Content from the Service, or use such data to build or train a competing product or a facial-recognition, profiling, or identification database;
• Reverse-engineer, decompile, or disassemble any part of the Service, except to the limited extent such restriction is prohibited by applicable law.

We may use technical and legal measures to detect and block scraping and automated access, and reserve the right to pursue civil or criminal remedies for violations of this section.

10. Commercial Use Restrictions

The Service is provided for your personal, non-commercial use in seeking friendships, relationships, and social connections. Except with our prior written consent, you may not:

• Use the Service to advertise, promote, or sell any product, service, or business, including through your profile, messages, or photos;
• Use the Service for market research, recruiting, or soliciting other users for any commercial, political, or fundraising purpose;
• Resell, sublicense, rent, lease, or otherwise commercially exploit access to the Service or any Content obtained through it;
• Use any MNF trademarks, branding, or the look and feel of the Service in connection with any product or service not authorized by us.

11. User Content and License Grant

You retain ownership of the Content you post. By posting User Content, you grant MNF a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, reproduce, adapt (for formats and display purposes), publish, publicly display, and distribute your User Content solely for the purposes of operating, providing, promoting, marketing, and improving the Service. You represent that you own or have all rights necessary to grant this license and that your Content does not infringe any third party's rights.

This license continues for Content shared with other users or made public through normal use of the Service (for example, messages already delivered) even after you delete the Content or your Account, and also continues to the extent necessary for backups, legal compliance, dispute resolution, or fraud/abuse prevention.

12. Intellectual Property Rights of MNF

The Service, including its software, source code, visual design, user interface, logos, trademarks (including "MNF" and "Make New Friends"), and all Content we create (excluding User Content), is owned by us or our licensors and is protected by copyright, trademark, and other intellectual property laws of Azerbaijan and applicable international treaties. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended personal purpose, subject to these Terms. No other rights are granted.

13. User Safety and Protection Statement

MNF is a platform to help adults meet; it is not a background-check, identity-verification, or dating-safety service, and we cannot guarantee the truthfulness, safety, or intentions of any user. You are solely responsible for your own safety when interacting with other users, online or in person.

For your safety, we strongly recommend that you:

• Never send money, cryptocurrency, gift cards, or financial/banking information to anyone you meet on MNF, regardless of the story they give you;
• Meet for the first time in a public place, telling a friend or family member your plans;
• Arrange your own transportation to and from a first meeting, and keep your phone charged and with you;
• Use MNF's in-app messaging until you are comfortable sharing personal contact details;
• Use the block and report tools immediately if someone harasses you, asks for money, or makes you feel unsafe;
• Trust your instincts — you may end a conversation or a meeting at any time, for any reason.

14. Reporting, Blocking, and Moderation

The Service provides tools to report, block, and mute other users and Content. We review reports and may take enforcement action including content removal, feature restriction, warnings, and Account suspension or termination. We may also proactively use automated systems to detect fraud, spam, underage use, or content violating these Terms. We are not obligated to take any specific action in response to a report, but we will make reasonable efforts to review reports of safety-related violations promptly.

15. Matching Features and Personalization

MNF may use algorithmic and, where indicated, AI-assisted features to suggest potential matches, rank or order profiles, and personalize your experience, including using signals such as your activity, preferences, and location. These features are provided for convenience, are not a guarantee of compatibility, and do not constitute a recommendation, endorsement, or safety assurance regarding any user.

16. Third-Party Services, Links, and Advertising Content

The Service may contain links to, or integrations with, third-party websites, social login providers, payment processors, or advertising partners. We do not control and are not responsible for the content, policies, or practices of any third party. Your interactions with such third parties are solely between you and them, and are governed by their own terms and policies.

17. Privacy and Data Protection

Our collection, use, and disclosure of your personal data is described in our Privacy Policy. As a company established in the Republic of Azerbaijan, our processing of personal data is subject to the Law of the Republic of Azerbaijan “On Personal Data” (No. 998-IIIQ, 11 May 2010) and related regulations. Because the Service is offered worldwide, we may also be subject to, and will provide additional disclosures or obtain consent as required by, other applicable data protection laws depending on where you live (for example, the EU/UK GDPR, or US state privacy laws).

18. Term, Suspension, and Termination

These Terms remain in effect for as long as you use the Service. You may delete your Account at any time through the app settings. We may suspend or terminate your Account or access to the Service, in whole or in part, at any time, with or without notice, including if we believe you have violated these Terms, to protect the safety of other users, to comply with a legal obligation, or for any other reason at our sole discretion. Upon termination, your license to use the Service ends immediately; provisions that by their nature should survive (including Sections 8–17 and 19–23) will survive termination.

19. Disclaimer of Warranties

Some jurisdictions do not allow the exclusion of certain implied warranties, so some of the above exclusions may not apply to you, and you may have additional rights under local law.

You agree to defend, indemnify, and hold harmless MNF and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any right of a third party, including intellectual property, privacy, or publicity rights; or (e) any in-person meeting or interaction with another user arising from the Service.

22. Governing Law and Dispute Resolution

22.1 Governing Law

These Terms are governed by the laws of the Republic of Azerbaijan, without regard to its conflict-of-laws principles, except that if you are a consumer resident in a jurisdiction (such as the EU, UK, or certain US states) whose law grants you mandatory consumer protections that cannot be waived by contract, those mandatory protections will continue to apply notwithstanding this clause.

22.2 Informal Resolution First

Before filing any claim, you agree to first contact us at support@fortcoretech.net and attempt in good faith to resolve the dispute informally for at least 30 days.

22.3 Venue / Arbitration

Any dispute not resolved informally will be submitted to the competent courts of the Republic of Azerbaijan located in [Baku] / to binding arbitration administered by [arbitration institution], as determined appropriate for your target markets. Where mandatory local consumer law requires disputes to be resolved in the consumer's home jurisdiction, this clause will be read subject to that requirement.

23. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy and any additional terms for specific features (e.g., Subscription terms), constitute the entire agreement between you and MNF regarding the Service.
• Changes to These Terms: We may modify these Terms at any time. We will provide notice of material changes (e.g., in-app notice or email) before they take effect; continued use of the Service after changes take effect constitutes acceptance.
• Severability: If any provision of these Terms is held invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
• No Waiver: Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.
• Force Majeure: We are not liable for any failure or delay in performance resulting from causes beyond our reasonable control.
• Relationship of the Parties: Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and MNF.
• Language: These Terms are drafted in English. Any translations provided are for convenience only; in case of conflict, the English version prevails, except where local law requires the local-language version to control.
